To avoid trade-bargain erosion, countries involved in large-scale, bilateral or regional trade arrangements must reconcile preserving close economic ties and supply chains with the need to dynamically adjust to new opportunities with other partners. Using the growing deterioration of the European Union-Turkey Customs Union as an illustration to a new model of trade-agreement restructuring, this well-researched and deeply insightful book outlines and demonstrates how this trade arrangement can be successfully renegotiated, thus providing expert practical guidance in a crucial area of trade law and policy that rarely receives the attention it deserves. Since an enterprise, which is to be privatized, has to be restructured in uncertainty, and the restructuring investments are sunk when the final decision on the sale price is taken, there is an imminent danger that restructuring is not efficient, and there is underinvestment. We consider, restructuring by the private buyer of the firm, by a government privatization agency, and by both. In the first two cases—one-sided restructuring—a first best can be achieved. In the case of both-sided restructuring, however, the first best cannot be reached if both parties engage in restructuring after signing the contract.

The paper examines recent episodes of government involvement in corporate debt restructurings. It argues that corporate debt restructuring is an important step toward recovery from a financial crisis. We then discuss the rationale for, and modalities of, the state intervention in corporate debt workouts through reviewing six countries with large scale corporate debt workouts. Case studies reveal that the costs of corporate sector rescue are significant and in several cases on par with the costs of financial sector bailouts. The paper sheds light on the importance of contingent liabilities and associated risks to government balance sheet from the corporate debt side and emphasizes the need for improved contingency planning for corporations with potential systemic impact.

At the end of World War II, experts on both sides of the Atlantic believed that France was doomed to economic stagnation. French culture and institutions, they argued, inhibited the changes in economic structure that sustained growth would require. But in spite of these predictions and the occasional volatility of the world economy, the French economy grew rapidly. Only the Japanese, of the major economies, has grown faster, and by 1975 the French standard of living matched that of West Germany. Restructuring the French Economy looks at the four decades of the structural changes that fostered growth and explores explanations of why such changes occurred. Drawing on many and diverse primary materials, including government statistics, judicial decisions, and professional memoirs, Adams examines three different explanations of France's postwar economic success. The first downplays the extent of structural change during the surge of growth. The second emphasizes the importance of government policies to compensate for inadequate private initiative. The third suggests that European economic integration and French decolonization created enough market competition to push the private sector into its own restructuring. Adams stresses that if government initiatives worked well, they did so in an environment of strong market competition; if competition seemed to work wonders, it occurred only as a result of government actions. He also devotes considerable attention to the implications of his findings for U.S. policy concerning European protectionism and the health and growth of American industries.
