In 1938, Howard Jay Graham, a deaf law librarian, successfully argued that the authors of the Fourteenth Amendment--ratified after the American Civil War to establish equal protection under the law for all American citizens regardless of race--were motivated by abolitionist fervor, debunking the notion of a corporate conspiracy at the heart of the amendment's wording. For over half a century, the amendment had been used to endow corporations with rights as individuals and thus protect them from state legislation. By 1968, when Everyman's Constitution was first published, the Fourteenth Amendment had become a tool for the incorporation of the Bill of Rights to apply to all American citizens. The essays in this reprinted edition are still relevant as the nation continues to interpret our framing legislation in light of the concerns of today and to balance citizens' rights against those of corporations. Howard Jay Graham was a law librarian brought in by the NAACP's legal team to write a brief on the Fourteenth Amendment for the Supreme Court case Brown v. Board of Education. Though the Supreme Court justices ruled in favor of the NAACP based on the sociological rather than historical evidence it provided, Graham's work, published in various law journals over several decades, contributed greatly to the ongoing interpretation of the Fourteenth Amendment.

Understanding the corporation means understanding its legal framework, but until recently the origins and evolution of corporate law have received relatively little attention. The topical chapters featured in this Research Handbook, contributed by leading scholars from around the world, examine the historical development of corporation and business organization law in the Americas, Europe, and Asia from the ancient world to modern times, providing an invaluable resource for both further historical research and scholars seeking the origins of present-day issues.

Hyperpolitics is an appealing book in print format that is enhanced by an interactive Web version . Calise (Univ. of Naples Federico II) and Lowi (Cornell Univ.) define a hyperdictionary as a dictionary that uses a "method for unpacking a dense concept by separating out its components ... a method of concept analysis." Hyperpolitics provides an innovative way of defining political science topics. It is a dictionary, so readers can look up concepts that are organized in alphabetical order. Using the Web site, users can also, for instance, move from a definition to its "Sources"--"summaries from other dictionaries and online bibliographical sources." The 67 terms are divided into main concepts, short entries, and cross-entries. The 18 main subjects include terms like "citizen," "law," and "pluralism." The 17 short entries cover subjects such as "choice," "majority," and "participation." Finally, the 32 cross-entries feature concepts like "class," "conflict," and "democracy," with matrices linking them to other concepts. The book is very visual, which should appeal to students. However, the matrices lend themselves very naturally to the Web, where many readers will find additional value. The Web site includes a users' guide. Summing Up: Recommended. Lower-division undergraduates through researchers/faculty. Lower-division Undergraduates; Upper-division Undergraduates; Graduate Students; Researchers/Faculty. Reviewed by K. N. Djorup.

Means provides the first major study of both the historical development of private law in a Latin American country and the shifting role of business corporations or share companies in Latin American development. He shows that Colombia's corporate law provisions for commercial codes held only a tenuous relationship to reality and that, even today, Colombia's commercial development continues to be affected by a paucity of legal scholars, case reports, and legal journals.

Ever since Adolph Berle and Gardiner Means wrote their classic 1932 analysis of the American corporation, The Modern Corporation and Private Property, social scientists have been intrigued and challenged by the evolution of this crucial part of American social and economic life. Here William Roy conducts a historical inquiry into the rise of the large publicly traded American corporation. Departing from the received wisdom, which sees the big, vertically integrated corporation as the result of technological development and market growth that required greater efficiency in larger scale firms, Roy focuses on political, social, and institutional processes governed by the dynamics of power. The author shows how the corporation started as a quasi-public device used by governments to create and administer public services like turnpikes and canals and then how it germinated within a system of stock markets, brokerage houses, and investment banks into a mechanism for the organization of railroads. Finally, and most particularly, he analyzes its flowering into the realm of manufacturing, when at the turn of this century, many of the same giants that still dominate the American economic landscape were created. Thus, the corporation altered manufacturing entities so that they were each owned by many people instead of by single individuals as had previously been the case.
