Derived from the renowned multi-volume International Encyclopaedia of Laws, this practical analysis of the law of business formations in Canada provides quick and easy guidance on a variety of corporate and partnership considerations such as mergers, rights and duties of interested parties, stock exchange rules, labour laws, and takeovers. Lawyers who handle transnational business will appreciate the explanation of local variations in terminology and the distinctive concepts that determine practice and procedure. A general introduction covering historical background, definitions, sources of law, and the effect of international private law is followed by a discussion of such aspects as types of formation, capital, shares, management, control, liquidation, mergers, takeovers, holding companies, subsidiaries, and taxation. Big companies, various types of smaller entities, and partnerships are all covered in turn. These details are presented in such a way that readers who are unfamiliar with specific terms and concepts in varying contexts will fully grasp their meaning and significance. Thorough yet practical, this convenient volume puts the information necessary for corporations to compete effectively at the user’s fingertips. An important and practical tool for business executives and their legal counsel interested in engaging in an international partnership or embarking on corporate expansion, this book will prove a valuable time-saving tool for business and legal professionals alike. Lawyers representing parties with interests in Canada will welcome this very useful guide, and academics and researchers will appreciate its value in the study of comparative business law.

These proceedings provide an overview of the ongoing research and management activities on polar bears in the circumpolar arctic. Together with the previous 12 proceedings, they provide an historic record of international efforts in protecting polar bears from over-harvest and document more recent concerns of threats arising from increased human activities in both the Arctic and in regions far beyond the realm of polar bears. More proactive management is needed to address limitations in the knowledge of population dynamics. New information indicates that the greatest future challenges to polar bear conservation may be ecological change in the Arctic due to climate change and pollution. The complex, global nature of the issues requires international cooperation and development of diverse, new approaches to address them.

This important book is a must for everyone concerned with the heritage and future of Canada’s parks. Contributors include an impressive assembly of noted park experts ranging from academic authorities and government parks personnel to concerned nonpolitical park supporters. Since the establishment of Banff National Park in 1885 and Algonquin Provincial Park in 1893, parklands have been part of Canada’s heritage. Where other protected areas, such as forest reserves, heritage rivers and greenways, have also been created, a more comprehensive view of the creation and management of conservation areas and marshland is discussed. Cooperative approaches to park management recognize the regional context of parks with respect to local communities, as well as the inclusion of more diverse groups of people, particularly Aboriginals. This work encourages the general public to take an interest in our priceless park heritage.

Over time, maternity protection evolved to include measures to protect the pregnant woman's health, so that work does not harm the development of the foetus.

The Newfoundland and Labrador cod fishery was once the most successful commercial fishery in the world. When it collapsed in 1992, many pointed to failures in management, such as uncontrolled harvesting, as likely culprits. Managed Annihilation makes the case that the idea of natural resource management itself was the problem. The collapse occurred when the fisheries were state-managed and still, two decades later, there is no recovery in sight. Although the collapse raised doubts among policy-makers about their ability to understand and control nature, their ultimate goal of control through management has not wavered and has been transferred from wild fish to fishermen and farmed cod.

This report describes the Act and states the reasons for our conclusion that the Act should be repealed. It also contains the text of the Act, describes the survey conducted of members of the legal profession regarding their views on the Act, and summarizes the most frequently expressed reasons for retaining the Act, and states why it was concluded that those reasons were overborne by those in favour of repeal. Finally, it describes some approaches that could be taken to reforming rather than repealing the Act.
