The paper deals with the use of the blockchain technology in the capital markets from a comparative legal angle. Both the Swiss and the EU legal systems have been analysed with a special focus on banking, securities and AML law. The paper goes beyond a simple analysis of the use of Bitcoin and other virtual currencies, in order to highlight the emergence of proprietary forms of blockchain in the capital markets. Such proprietary forms of blockchain raise numerous questions in terms of governance and access for market players. A section is dedicated to initial coin offerings and their regulatory treatment, scrutinizing to what extent coins qualify as securities in their different forms under Swiss (Bucheffekten and Wertrechte) and EU law. The different position papers by the European authorities (EBA, ECB) as well as the legislative debate have been also taken into consideration. The paper has been submitted as a Master Thesis on April 8th 2018 to the Faculty of Law of the University of Zurich (Professor Rolf Sethe) and been discussed at the joint seminar of the Luxembourg/Bonn/Zurich University on 25 -26 April 2018. The author works as in-house counsel at UBS in Zurich. The paper takes into consideration literature and case law published until March 31 2018.

Distributed ledger technologies (DLTs) have the potential to revolutionise securities trading and the capital market through removing reconciliation and other costs that are no longer needed with the trust and transparency that DLT brings. DLTs have been used to create virtual currencies (crypto-currencies), such as Bitcoin and Ether, and to create an alternative financial services system. Will disintermediation create more obstacles to securities trading?
