SMEs play a vital role in the growth of economies and are often described as the engine of economic development. However, SMEs in emerging markets struggle to survive and grow for a variety of reasons, including a lack of finance and management skills. Most of the growth-constraining factors in small businesses can be traced to weak corporate governance (CG) practices. As a seasoned practitioner in the field of corporate governance, Dr. Almona sees the need to build capacity to enhance sustainability in the SME sector. SMEs need to understand that CG is not a destination but a journey SMEs need to grow and mature into CG practices that are relevant to their stage of business. SME owner-managers need to understand and adapt to the level of formality expected and required by potential employees and providers of funds. This book provides ways and models that will encourage the adoption of sound corporate governance principles and practices for SMEs in Africa, to the benefit of society.

Over the years, the theory and practice of corporate governance has gained a strategic position with respect to large and quoted corporate entities. However, little attention has been paid to the study and implementation of corporate governance in in small and medium enterprises. This has created a void in theory and literature in this area. This has led the author to embark on a discourse of how the principles of corporate governance can be used to nurture small and medium business to large and quoted companies which is presented in this work. This includes the usefulness and challenges of implementation of corporate governance in small and medium businesses.

This paper is a primer on corporate performance, corporate governance, and their interrelationships and measurement systems, with particular focus on Small- and Medium-Sized Enterprises (SMEs). This is the first report of a larger on going research project. In the domain of performance measurement the paper describes the trend from financial to non-financial measures, as well as a taxonomy of measures and the impact of the TQM movement on measurement practices. In the domain of governance, governance as a general concept is presented, followed by the more specific concept of corporate governance. Four theories of corporate governance are explained, along with literature findings on the relationship between corporate governance and corporate performance, with reference to both works on large firms and works on SMEs.

Although topics in corporate governance have been present in literature for almost a century, most of the theoretical and empirical work has focused on large and public companies, or the "Berle-Means- Corporation" in which fragmented ownership, caused by the separation of ownership and control, shifts power in the firm toward managers. While this research has improved our understanding of how large corporations are governed, corporate governance in small and medium sized enterprises, and in particular in entrepreneurial firms, has rarely been studied. While academia, managers, and policy makers are deeply concerned with how many jobs are created by new ventures, how much they should invest, and how much wealth they generate. In particular they are concerned in their local and national economy, for there is only scarce evidence on how entrepreneurial firms can and should organize their factors of production in a way that promotes success, and how they are governed. With the emergence of the "New Economy" that is step-by-step replacing the "Managed Economy," governance problems in these entrepreneurial firms appear. This essay offers a reflective overview of corporate governance mechanisms in entrepreneurial firms and offers an explanation on how and why they may differ from those mechanisms in large and publicly traded corporations.
