Bachelor Thesis from the year 2008 in the subject Business economics - General, grade: 1.3, European Business School - International University Schloß Reichartshausen Oestrich-Winkel, language: English, abstract: A wrap-up of 2007 mergers and acquisitions (M&A) activity discovers that the M&A volume reached new records throughout the year but rapidly declined after the subprime-lending crisis made credit markets tighter. During the next years, Investment Banks expect less mega-deals with the participation of financial sponsors. The share of financial investors in the total M&A volume has sunk from 36% in May to 14% in October 2007 (Köhler, 2007). The same holds true for private equity companies that are struggling to raise new debt capital for their investments ("Vergleich mit J.C. Flowers," 2008). Nevertheless, suggestions that the M&A boom has reached its climax and is about to come down may be premature. Especially for Germany, financial analysts expect a special economic cycle, as the M&A activity of public banks is expected to remain on the move. In general, the future trend is ambiguous; on the one hand, the credit crunch that already affected vast parts of global markets could also damage M&A activity. On the other hand, due to this crisis, new opportunities for large mergers and acquisitions may arise. According to Thomson Financial, the M&A volume for 2007 amounted to 3.0 bn due to record investments in the first half of 2007, compared to 2.5 bn in 2006 and 1.9 bn in 2005 (Köhler, 2007). Even more significant is the astonishing amount of high priced energy deals. Companies in the energy sector, having stable cash flows, will remain attractive targets. The energy sector, being one of the largest concerns of the global economy, is facing several simultaneous developments: with oil prices soaring, unrest in the Middle East and Russia exerting political pressure with its natural gas resources, the importance of M&A among energ

The process of economic globalization, as product and capital markets have become increasingly integrated since WWII, has placed huge, and it is argued by some, irresistible pressures on the world's 'insider' stakeholder oriented corporate governance systems. Insider corporate governance systems in countries such as Germany, so the argument goes, should converge or be transformed by global product and capital market pressures to the 'superior' shareholder oriented 'outsider' corporate governance model prevalent in the UK and the US. What these pressures from globalization are, how they manifest themselves, whether they are likely to cause such a convergence/transformation and whether these pressures will continue, lie at the heart of the exploration in this volume. The Globalization of Corporate Governance provides a detailed analysis of the evolution of the key corporate governance systems in the UK, the US and Germany from the perspective of the development of economic globalization. As such it is a valuable resource for those interested in how economic and legal reforms interact to produce change within corporate governance systems.

An all-in-one reference to the major Home Area Networking, Building Automation and AMI protocols, including 802.15.4 over radio or PLC, 6LowPAN/RPL, ZigBee 1.0 and Smart Energy 2.0, Zwave, LON, BACNet, KNX, ModBus, mBus, C.12 and DLMS/COSEM, and the new ETSI M2M system level standard. In-depth coverage of Smart-grid and EV charging use cases. This book describes the Home Area Networking, Building Automation and AMI protocols and their evolution towards open protocols based on IP such as 6LowPAN and ETSI M2M. The authors discuss the approach taken by service providers to interconnect the protocols and solve the challenge of massive scalability of machine-to-machine communication for mission-critical applications, based on the next generation machine-to-machine ETSI M2M architecture. The authors demonstrate, using the example of the smartgrid use case, how the next generation utilities, by interconnecting and activating our physical environment, will be able to deliver more energy (notably for electric vehicles) with less impact on our natural resources. Key Features: Offers a comprehensive overview of major existing M2M and AMI protocols Covers the system aspects of large scale M2M and smart grid applications Focuses on system level architecture, interworking, and nationwide use cases Explores recent emerging technologies: 6LowPAN, ZigBee SE 2.0 and ETSI M2M, and for existing technologies covers recent developments related to interworking Relates ZigBee to the issue of smartgrid, in the more general context of carrier grade M2M applications Illustrates the benefits of the smartgrid concept based on real examples, including business cases This book will be a valuable guide for project managers working on smartgrid, M2M, telecommunications and utility projects, system engineers and developers, networking companies, and home automation companies. It will also be of use to senior academic researchers, students, and policy makers and regulators.

From the first vague idea to use Konrad Hagedorn’s 60th birthday as an inspi- tion for taking stock of his vibrant academic contributions, this joint book project has been a great pleasure for us in many ways. Pursuing Hagedorn’s intellectual development, we have tried to reflect on the core questions of humanity according to Ernst Bloch “Who are we?”, “Where do we come from?” and “Where are we heading?” In this way, and without knowing it, Konrad Hagedorn initiated a c- lective action process he would have very much enjoyed ... if he had been allowed to take part in it. But it was our aim and constant motivation to surprise him with this collection of essays in his honour. Konrad Hagedorn was reared as the youngest child of a peasant family on a small farm in the remote moorland of East Frisia, Germany. During his childhood in the poverty-ridden years after the Second World War, he faced a life where humans were heavily dependent on using nature around them for their livelihoods; meanwhile, he learned about the fragility of the environment. As a boy, he - tended a one-room schoolhouse, where his great intellectual talents were first r- ognised and used for co-teaching his schoolmates. These early teaching expe- ences might have laid the foundations for his later becoming a dedicated lecturer and mentor.

In spite of the robust development of venture capital that has occurred over the last three decades, returns from venture capital have been declining. This book focuses on a simple question: why? The answer lies in the context of multiple deformations that have occurred throughout the venture capital process. The book critically assesses the ways in which interactions between different stakeholders in the venture capital ecosystem change (or "deform") venture capital, decreasing its value. Klonowski also reveals that venture capital actually has few benefits—and some outright disadvantages—for entrepreneurs, and it can create a self-perpetuating cycle of investment and loss for the entire venture capital industry. This is especially true as corporate governance and compensation structures may create significant misalignments, incongruities, and conflicts of interest between general and limited partners.
