Advisory boards offer various advantages in corporate settings related to shareholder relief, consulting know-how, and marketing. They have been gaining increasing importance across the world, especially in medium-sized companies which by nature differ from large corporations in their independent business models, leaner structures and special culture. With contributions from renowned practical experts from several countries, Advisory Boards in Medium-Sized Companies helps to classify, compare and understand the role of advisory boards in SMEs in the main legal and economic systems around the world. This useful and timely book analyses the legal structure and framework of advisory boards in different countries and provides an overview of their situation, furthering critical mutual understanding of corporate law at the international level. Experienced practitioners from each country have brought together their experiences to improve the understanding of, and raise awareness of the benefits of, advisory boards through up-to-date and practice-oriented country reports. This book provides valuable insights for managers, shareholders, consultants, practitioners and academics alike.

This report, prepared for and funded by the Information Assurance Advisory Council, analyzes the relationship between corporate governance and information assurance. The study examines the ways in which information assurance can be embedded into corporate risk management processes in the changing corporate governance environment. Corporate governance now calls for effective management of risks but board-level awareness is not yet being translated into effective controls. This study outlines the ways in which information assurance can be embedded into corporate risk management practices and how companies can be incentivized to adopt good practices.

Corporate governance deals with the ways in which the rights of outside suppliers of equity finance to corporations are protected and receive a fair return. Good practices reduce the risk of expropriation of outsiders by insiders and thus the cost of capital for issuers. Capaul and Fremond review the experience of the preparation of 15 corporate governance country assessments across five continents. The assessments have been prepared under the umbrella of the joint World Bank/IMF initiative of the quot;Reports on the Observance of Standards and Codesquot; (ROSCs). The assessments focus on the rights of shareholders, the equitable treatment of shareholders, the role of stakeholders, disclosure and transparency, and the duties of the board of listed companies, and use the OECD Principles of Corporate Governance as benchmark. The authors give an overview of the actual and potential contribution of the assessments to policy dialogue, diagnostic and strategic work, lending and nonlending operations, and technical assistance and capacity, and presents the unfinished agenda. This paper - a product of the Corporate Governance Unit, Private Sector Advisory Services Department - is part of a larger effort in the department to disseminate lessons learned in the assessment of the compliance of countries to global standards.
